Licensing

This Licensing Agreement ("Agreement") is made between Zijl Automation ("Licensor") and any individual or entity ("Licensee") who accesses, downloads, or uses any software, tools, or materials provided by the Licensor through its website.

1. Grant of License

Licensor grants Licensee a non-exclusive, non-transferable, and revocable license to use the software and materials provided, strictly in accordance with this Agreement.

2. Restrictions

Licensee agrees not to:

• Copy, modify, distribute, or create derivative works based on the licensed materials without prior written consent.

• Reverse engineer, decompile, or disassemble any software provided.

• Use the licensed materials for unlawful purposes or in violation of applicable regulations.

• Transfer or sublicense the license to any third party.

3. Ownership and Intellectual Property

All intellectual property rights in the software, tools, and materials remain the exclusive property of the Licensor. This Agreement does not transfer ownership of any intellectual property to the Licensee.

4. Termination

Licensor may terminate this Agreement at any time if Licensee violates any terms. Upon termination, Licensee must cease all use of the licensed materials and delete any copies.

5. Disclaimer of Warranties

The licensed materials are provided "as is" without any warranties, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

6. Limitation of Liability

Licensor shall not be liable for any damages, including incidental or consequential damages, arising from the use or inability to use the licensed materials.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes shall be resolved in the courts of [Jurisdiction].

8. Amendments

Licensor reserves the right to modify this Agreement at any time. Continued use of the licensed materials constitutes acceptance of the modified terms.
